Welcome to VeeFriends Physical and Virtual Experiences. Vee Friends, LLC, its subsidiaries and affiliates (“Company” or “VeeFriends”) is proud to produce our family of events at in-person, physical events (“Physical Experience(s)”), including, without limitation, VeeCon, VeeFriends Access Experiences, and online experiences and virtual events, (“Online Experience (s)”)(the Physical Experiences and Online Experiences are collectively referred to herein as the “Experience (s)”). These Experience Terms and Conditions (the “Experience Terms” or “Terms”) as well as the general Site terms of use located at https://veefriends.com/terms-of-use (the “VeeFriends Terms of Use”) apply to (i) all Experiences available to those purchasers of certain VeeFriends tokens (“Tokenholder(s)” or “Holder(s)”) (ii)you and any individual or entity you are engaging in a transaction on behalf of to participate in any VeeFriends Experiences (“you” “your” or “Participant”), (iii) such Tokenholder Participant’s application for involvement in the Experiences (“Application(s)”) and (iv) Participant’s registration, attendance, participation, and/or enrollment, including, without limitation, purchase and/or possession of any VeeFriends Experience entry or access credentials or permissions whether physical or digital, such as NFT tickets for Access Experiences or VeeCon, badges, tickets, passes, and giveaways (tickets, passes, permissions and badges are collectively referred to herein as “Credentials”).

The ability to redeem Experiences and access to VeeCon will begin on May 5, 2021 and will expire on May 6, 2024 (the 'Experience Term'). By redeeming or participating in an Experience, you acknowledge your understanding and acceptance of these Terms and agree that any attendance at any future Experience is conditioned upon your agreement and adherence to these Terms, any future terms and conditions applicable to the Experiences and any instructions given to you by VeeFriends with respect to any Experience. All terms and conditions relating to the Experiences are applicable to the token itself regardless of the owner of the token at the time of redemption. All Experiences that are eligible for redemption in more than one year shall be completed within consecutive years following the redemption date.

By obtaining Credentials you acknowledge and agree to these Experience Terms as well as the VeeFriends Terms of Use and the terms of any third party venue or platform hosting the respective Experience.

1. DESCRIPTION OF EXPERIENCES

1. HANGOUT HAWKS: Holders of the Hangout Hawks token shall receive:

An opportunity to attend a virtual hangout with Gary Vaynerchuk with up to 125 other holders of a Hangout Hawk token. Each hangout experience will be for a duration of 60 minutes. There will be five (5) hangouts scheduled during each 12-month period during the Term. This experience may be redeemed up to fifteen (15) times during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

2. BREAKFAST BATS: Holders of the Breakfast Bats token shall receive:

An opportunity to attend a breakfast with Gary Vaynerchuk and 10 other holders of a Breakfast Bat token. Each breakfast experience will be for a duration of 90 minutes. This experience may be redeemed two (2) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

3. BRUNCH BEARS: Holders of the Brunch Bears token shall receive:

An opportunity to attend a brunch with Gary Vaynerchuk and 10 other holders of a Brunch Bear token. Each brunch experience will be for a duration of 90 minutes. This experience may be redeemed two (2) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

4. LUNCH LADYBUGS: Holders of the Lunch Ladybugs token shall receive:

An opportunity to attend a 10-person lunch with Gary Vaynerchuk. Each lunch experience will be for a duration of 90 minutes. This experience may be redeemed two (2) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

5. DINNER DEERS: Holders of the Dinner Deers token shall receive:

An opportunity to attend a 10-person dinner with Gary Vaynerchuk. Each dinner experience will be for a duration of 90 minutes. This experience may be redeemed three (3) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

6. FACETIME FIVE / FACETIME FROG / FACETIME FLEA / FACETIME FLY / FACETIME FOX: Holders of the Facetime Five, Facetime Frog, Facetime Flea, Facetime Fly or the Facetime Fox token shall receive:

An opportunity to Facetime with Gary Vaynerchuk. Each Facetime experience will be virtual for a duration of 5 minutes. This experience may be redeemed three (3) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

7. GARAGE SALIN YALE: Holders of the Garage Salin Yale token shall receive:

An opportunity to attend a garage sale with Gary Vaynerchuk. Each garage sale experience will be for a duration of 4 hours and may take place outside of New York City. This experience may be redeemed three (3) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

8. SUPPER SUNFISH: Holders of the Supper Sunfish token shall receive:

An opportunity to attend a one-on-one dinner with Gary Vaynerchuk. Each dinner will be for a duration of 90 minutes. This experience may be redeemed three (3) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

9. MENTOR MEETING MONGOOSE: Holders of the Mentor Meeting Mongoose token shall receive:

An opportunity to attend a one-on-one mentor meeting with Gary Vaynerchuk in New York City. Each mentor meeting experience will be for a duration of 2 hours. This experience may be redeemed two (2) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

10. JAM SESSION SNAIL: Holders of the Jam Session Snail token shall receive:

An opportunity to attend a jam session in New York City with Gary Vaynerchuk and three of the Tokenholder's friends. Each jam session experience will be for a duration of 3 hours. This experience may be redeemed three (3) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

11. PODCAST PANTHER: Holders of the Podcast Panther token shall receive:

An opportunity to have Gary Vaynerchuk make a guest appearance on Tokenholder's podcast. Each guest appearance experience will be for a duration of 40 minutes. This experience may be redeemed two (2) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

12. "GONE FISHING" FISH: Holders of the "Gone Fishing" Fish token shall receive:

An opportunity to go fishing with Gary Vaynerchuk. Each fishing experience will be for a duration of 3 hours and may take place outside of New York City. This experience may be redeemed two (2) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

13. KEYNOTE KOALA: Holders of the Keynote Koala token shall receive:

One ticket for VIP seating and access to the green room at any public event where Gary Vaynerchuk is giving a keynote address. This experience will be available for the duration of the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

14. SHADOW ME SCORPION: Holders of the Shadow Me Scorpion token shall receive:

An opportunity to shadow Gary Vaynerchuk for a day. Each shadowing experience will be for a duration of 10 hours. This experience may be redeemed two (2) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

15. COURTSIDE CAT: Holders of the Courtside Cat token shall receive:

An opportunity to sit courtside with Gary Vaynerchuk at a New York Knicks game. This experience may be redeemed three (3) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

16. WORKOUT WOLF: Holders of the Workout Wolf token shall receive:

An opportunity to workout with Gary Vaynerchuk. Each workout experience will be for a duration of 60 minutes. This experience may be redeemed two (2) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

17. WINE SHOPPING SPREE WOODCHUCK: Holders of the Wine Shopping Spree Woodchuck token shall receive:

An opportunity to go on a shopping spree at Wine Library with a $10,000 store credit, and then drink wine and talk business with Gary Vaynerchuk. Each shopping spree experience will be for a duration of 60 minutes, followed by a 45-minute meeting with Gary Vaynerchuk. This experience may be redeemed two (2) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

18. PART OF THE TEAM DREAM: Holders of the Part of the Team Dream token shall receive:

An opportunity to spend five business days with members of Gary Vaynerchuks personal content team in New York City, and attend a one-on-one meeting with Gary Vaynerchuk. Each business day will consist of 8 hours with the content team. The meeting with Gary Vaynerchuk will be for a duration of 90 minutes. This experience may be redeemed two (2) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

19. POKER PIRATE: Holders of the Poker Pirate token shall receive:

An opportunity to play poker with Gary Vaynerchuk and three of tokenholders friends. Each poker experience will be for a duration of 2 hours. This experience may be redeemed two (2) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

20. BOWLING BOA: Holders of the Bowling Boa token will receive:

An opportunity to go bowling in New York City with Gary Vaynerchuk and eight other holders of a Bowling Boa token. Each bowling experience will be for a duration of 2 hours. This experience may be redeemed two (2) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

21. VIDEO GAME VULTURE: Holders of the Video Game Vulture token will receive:

An opportunity to compete with Gary Vaynerchuk in a mutually agreed upon video game. Each video game experience will be for a duration of 60 minutes. This experience may be redeemed two (2) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

22. UNO UNICORN: Holders of the Uno Unicorn token will receive:

An opportunity to compete with Gary Vaynerchuk and two other holders of an Uno Unicorn token in a game of Uno. Each Uno experience will be for a duration of 60 minutes. This experience may be redeemed two (2) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

23. TENNIS ELBOW: Holders of the Tennis Elbow token will receive:

An opportunity to compete with Gary Vaynerchuk in a game of tennis. Each tennis experience will be for a duration of 90 minutes. This experience may be redeemed two (2) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

24. BASKETBALL BUTTERFLY: Holders of the Basketball Butterfly token will receive:

An opportunity to play pickup basketball with Gary Vaynerchuk, four of Gary Vaynerchuk’s guests and four other holders of a Basketball Butterfly token. Each pickup basketball experience will be for a duration of 2 hours. This experience may be redeemed two (2) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

25. BUBBLE HOCKEY BASSET HOUND: Holders of the Bubble Hockey Basset Hound token will receive:

An opportunity to compete with Gary Vaynerchuk in one of his favorite games, bubble hockey. Each bubble hockey experience will be for a duration of 45 minutes. This experience may be redeemed two (2) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

26. CHECKERS CHICKEN: Holders of the Checkers Chicken token will receive:

An opportunity to compete with Gary Vaynerchuk in a game of checkers. Each Checkers Experience will be for a duration of 60 minutes. This experience may be redeemed two (2) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024

27. PING PONG KALONG: Holders of the Ping Pong Kalong token will receive:

An opportunity to compete with Gary Vaynerchuk in a game of ping pong. Each ping pong experience will be for a duration of 60 minutes. This experience may be redeemed two (2) times, no more than once per year, during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

SORCERER SCHOLARSHIP: Holders of the Sorcerer Scholarship token will receive:

Five mentoring sessions with Gary Vaynerchuk, plus thirty hours of mentoring sessions with members of Gary Vaynerchuks personal and professional network, over the course of one year. Each mentor session with Gary Vaynerchuk will be for a duration of 45 minutes. Each token holder will also have an opportunity to intern at VaynerMedia for three (3) months during this time. This experience may be redeemed one (1) time during the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

28. GIFT GOAT: Holders of the Gift Goats token will receive:

Access to a gifting experience curated by Gary Vaynerchuk and the Vee Friends team. Each token holder will receive a minimum of six (6) physical gifts per year during the Experience Term. This experience will be available for the duration of the Experience Term.

One ticket to each of VeeCon 2022, VeeCon 2023, and VeeCon 2024.

Unclaimed Gift Policy:

For each drop, a list of physical addresses will be captured by the VeeFriends Tech Team.

If a Gift Goat token is unregistered to a physical address, the physical gift will be sent to VaynerX Headquarters at 10 Hudson Yards, Floor 25, New York, NY 10001.

The owner of the Gift Goat token will have one year from the official announcement date of the gift package to prove ownership of the token and claim the gift by connecting their wallet to www.veefriends.com entering in the necessary contact information into their Profile.

If the gift is unclaimed after one year, the gifts may be forfeited to VeeFriends to be used at their discretion.

2. Official VeeFriends Credentials and Applications.

1. Credentials. VeeFriends is the sole creator, original seller and distributor of Credentials. Any Credentials not created by and legally acquired from VeeFriends or its authorized agents or representatives will be considered fraudulent and invalid, and subject to revocation. VeeFriends reserves the right to pursue any and all legal action or remedy available against any person or entity involved in the actual or attempted creation, dissemination or use of an unauthorized Credential.

2. Applications. Any application forms, submission requests, proposals or other offers not located on official VeeFriends channels are not official VeeFriends applications and will not be considered or fulfilled. In some instances Applications will not be required and such Experiences will only require Tokenholders to verify their ownership as a their Credential(s).

3. Credentials Required for Physical Experiences. For security reasons, and to allow entry into VeeFriends Physical Experience(s), Participant must present digital Credentials for the Physical Experiences must be the Participant on a digital device in their possession. If Credentials are not worn or presented correctly by a Participant, VeeFriends reserves the right to deny that Participant’s entry into VeeFriends Physical Experiences.

4. Entry and Restrictions. VeeFriends Credentials allow the Participant entry or other access to specific defined Experiences, but do not guarantee admission or other access to all elements of an Experience. Experience admission and participation are subject to certain limitations, including, without limitation, venue capacity, geoblocking, technical limitations and age restrictions in compliance with state and local laws. Age restrictions and capacity are specific to each venue and are set by relevant local, state and federal authorities. Venues may each have their own restrictions limiting entry unless Credential holder complies with certain Venue policies (e.g., masking or negative testing), or restricting entry with certain foods, beverages, or other items such as chairs or bags that are non-transparent or do not fit specified dimensions.

5. Credentials Cannot be Prizes. VeeFriends Credentials may not be used as a prize or incentive in any form of promotion, contest, game, or sweepstakes without advance written approval from VeeFriends.

6. No Tampering with Credentials. Tampering with any Credentials is not permitted. If tampering is evident, the applicable Credentials will be invalidated and confiscated, and Participant will not be allowed entry to any/all VeeFriends venues and/or Experiences where the Credentials are required. No refunds will be issued in such case.

7. System Requirements; Content Use; Anti-Piracy.

1. Participant is strictly prohibited from copying, republishing, downloading, transmitting, modifying, renting, leasing, loaning, selling, assigning, distributing, recording, licensing, sublicensing, reverse engineering, or creating any derivative works based on any content delivered by VeeFriends as part of the Experiences, or otherwise using any Experience content in a manner that does not comply with these Experience Terms, the VeeFriends Terms of Use, or other content usage guidelines provided by VeeFriends in writing, unless Participant has obtained express permission from VeeFriends and the applicable rightsholder(s). Any Participant found in violation of Experience Terms or any other provision of the VeeFriends Terms of Use will be subject to any and all legal remedies available to VeeFriends and/or the applicable rightsholder(s) of the content at issue.

2. Participant agrees to not use any device, software, internet site, web-based service, or other means to remove, alter, bypass, avoid, interfere with, or circumvent any copyright, trademark, or other proprietary notices marked on the Experience content or any digital rights management mechanism, device, or other content protection or access control measure associated with the Experience content, including, without limitation, any applicable geo-filtering mechanisms. For clarity, Participant may not use any technology or technique that obscures or disguises Participant’s location when accessing the Online Experiences or related services.

3. Participant agrees to not live stream any content at the Experiences including but not limited to Instagram live, Facebook live and any other live streaming platforms.

4. Image Release. Photographs and/or audio/video recordings taken at the Experiences by VeeFriends, or others on behalf of VeeFriends, may include Participant’s image, name, voice and/or likeness. By attending and/or participating in the Experiences, Participant hereby grants VeeFriends permission to perpetually use, and to sublicense to third-parties, Participant’s photograph, image, likeness, voice and statements (whether in writing or orally) for any purpose, including, without limitation, commercial purposes, without compensation or credit to the Participant, in any and all media, worldwide, now known or hereafter devised.

8. Personal Property. VeeFriends is not responsible for lost or damaged items. As a courtesy only, and without assuming any legal duty or liability, VeeFriends may establish a Lost and Found where Participants may drop off found items.

9. Code of Conduct. Participant hereby agrees to the Experience Code of Conduct set forth below as well as any code(s) of conduct any venue or platform that hosts an Experience may have (“Host Code of Conduct”), which are incorporated herein by this reference. If VeeFriends determines that a Participant violated the Experience Code of Conduct, the Host Code of Conduct or any other relevant code of conduct, VeeFriends reserves the right, in its sole discretion, to revoke that Participant’s Credentials without refund, deferral or credit to Participant.

10. Weapons-Free Policy. VeeFriends is a private event and maintains a weapons-free policy for all Experiences. Participant is prohibited from carrying weapons of any kind, including, without limitation, concealed or displayed firearms, and is not permitted to bring weapons onto the premises of any Experiences. Participant’s bags may be checked prior to entering a physical, in-person venue (whether part of the Physical Experiences or production for the Online Experiences) by employees, contractors and/or representatives of: (a) VeeFriends; (b) the venue for Experiences; and/or (c) VeeFriends’ clients or sponsors. VeeFriends reserves the right, in its sole discretion, without refund, deferral or credit to Participant, to deactivate and/or revoke the Credentials of a Participant if such Participant violates this Policy. Participant agrees that this policy is in force, and agrees to comply with the policy, regardless of the terms of any signs posted on the premises or venue of any Experience.

11. Safety. Participant agrees to comply with the safety, hygiene and CDC identified pandemic level communicable illnesses (including COVID-19) guidelines established by relevant health authorities.

12. VOLUNTARY PARTICIPATION AND ASSUMPTION OF RISK. PARTICIPANT UNDERSTANDS AND AGREES THAT PARTICIPATING IN THE EVENTS IS VOLUNTARY AND MAY INVOLVE CERTAIN RISKS OF PHYSICAL INJURY, DAMAGE TO PROPERTY, WHETHER PHYSICAL PROPERTY OR INTELLECTUAL PROPERTY, AND OTHER DAMAGES OR LOSSES THAT MAY BE SUSTAINED BY PARTICIPANT, AND PARTICIPANT ASSUMES ALL RISK OF DAMAGE, PROPERTY LOSS, AND/OR PERSONAL INJURY WHICH MAY OCCUR AS A RESULT OF PARTICIPATING IN THE EVENTS, INCLUDING, WITHOUT LIMITATION, EXPOSURE TO CDC IDENTIFIED PANDEMIC LEVEL COMMUNICABLE ILLNESSES (INCLUDING COVID-19). PARTICIPANT HEREBY RELEASES VEEFRIENDS, VEEFRIENDS OWNERS, VEEFRIENDS SPONSORS AND VEEFRIENDS OFFICIAL VENUES, AND EACH OF THEIR RESPECTIVE OFFICERS, DIRECTORS, MANAGERS, EMPLOYEES, VOLUNTEERS, CONTRACTORS, SUPPLIERS AND REPRESENTATIVES (THE “RELEASED PARTIES”) FROM ANY LIABILITY ASSOCIATED WITH PARTICIPATING IN THE EVENTS, INCLUDING LIABILITY FOR THE NEGLIGENCE OF ANY RELEASED PARTIES, UNLESS SUCH LIABILITY IS DUE TO THE GROSS NEGLIGENCE OF THE RELEASED PARTIES, IN WHICH CASE THE RELEASE WILL STILL APPLY TO ANY OF THE RELEASED PARTIES THAT WERE NOT GROSSLY NEGLIGENT.

13. LIMITATION OF LIABILITY. IN NO EVENT SHALL VEEFRIENDS BE LIABLE TO ANY PARTICIPANT, OR ANY OTHER PERSON OR ENTITY FOR ANY PERSONAL INJURY OR DAMAGES TO PROPERTY, DATA LOSS, DAMAGES FOR LOSS OF BUSINESS PROFITS OR OTHER PECUNIARY LOSS, INCLUDING ANY DIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE OR SIMILAR DAMAGES, ARISING OUT OF ANY PARTICIPANT’S USE OF THE CREDENTIALS AND/OR PARTICIPATION IN THE EVENTS, EVEN IF VEEFRIENDS OR PARTICIPANT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. NO WARRANTIES. EXCEPT AS MAY BE EXPRESSLY SET FORTH IN THESE TERMS, PARTICIPANT’S PARTICIPATION IN THE EVENTS, AND ALL SERVICES AND PRODUCTS PROVIDED IN CONNECTION WITH THE EVENTS, ARE PROVIDED “AS IS” WITHOUT ANY WARRANTY OF ANY KIND. VEEFRIENDS EXPRESSLY DISCLAIMS ALL EXPRESS, IMPLIED, OR STATUTORY WARRANTIES, REPRESENTATIONS OR CONDITIONS, WHETHER WRITTEN OR ORAL, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SECURITY, RELIABILITY, INTEGRATION, SAFETY, OR ANY WARRANTIES THAT MAY ARISE FROM COURSE OF DEALING. VEEFRIENDS EXPRESSLY DISCLAIMS ANY WARRANTIES NOT EXPRESSLY STATED HEREIN AND HAS MADE NO REPRESENTATIONS OR WARRANTIES TO PARTICIPANT ABOUT THE SUITABILITY, CONDITION OR SAFETY OF THE VEEFRIENDS EVENTS, VEEFRIENDS PLATFORM OR DIGITAL TRANSMISSION OF THE EVENTS, YOUR ABILITY TO ACCESS OR USE VEEFRIENDS CONTENT OR SERVICES, ANY EQUIPMENT PROVIDED BY VEEFRIENDS OR ITS VENDORS, VEEFRIENDS SERVICES OR PRODUCTS SUPPLIED AS PART OF THE EVENTS OR THAT THE EVENTS, INCLUDING ANY STREAMING, WILL OPERATE WITHOUT INTERRUPTION OR BE ERROR FREE.

15. Indemnification. Participant agrees to indemnify, defend, and hold VeeFriends and its affiliates, and each of their respective officers, directors, managers, employees, volunteers, contractors, suppliers, and representatives harmless from and against any and all claims, demands and all other liabilities, including, without limitation, costs and attorneys’ fees, made by any third party arising out of or in connection with Participant’s participation in the Experiences, use of the Credentials, or any violation of the Terms by Participant.

16. Updates to Terms. VeeFriends reserves the right to make changes to the Terms as posted, so be sure to check back and review the Terms from time to time prior to purchase. Any dispute between you and VeeFriends will be governed by the Terms agreed to at the time of your purchase or, at the time of your participation or application.

17. General Provisions. Nothing in these Terms establishes an agency, partnership or joint venture between the parties, or relationship of employer or employee, between the parties (or between either party and the other party’s personnel). Headings are included for convenience only and will not be used to construe these Terms. In the event that any term or provision of these Terms is held invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability will not affect any other term or provision hereof (which will remain in effect), and the parties agree thereafter to use their best efforts to substitute a provision of similar economic intent and effect. VeeFriends may assign this agreement to a third-party at its discretion.

Experience Code of Conduct.

1. Respectful and Inclusive Behavior: All Experience Participants are expected to treat each other with respect, kindness, and courtesy. Discrimination, harassment, or any form of disrespectful behavior, including but not limited to that based on race, gender, sexual orientation, religion, nationality, disability, or age, will not be tolerated.

2. Professional Conduct: Participants are encouraged to maintain a professional demeanor throughout the Experience(s). This includes refraining from using offensive, inappropriate, or derogatory language, as well as engaging in disruptive or disrespectful behavior that may detract from the event experience for others.

3. Compliance with Laws and Policies: Participants must abide by all applicable laws, regulations, and Experience policies. This includes respecting intellectual property rights, not engaging in unauthorized distribution or sharing of copyrighted materials, and adhering to any guidelines or restrictions provided by the event organizers.

4. Safety and Security: Participants are responsible for their own safety and the safety of others. Any threats, intimidation, or acts of violence will not be tolerated. Participants must promptly report any safety concerns or incidents to VeeFriends and/or the event organizers or designated staff.

5. Respect for Privacy: Respecting the privacy and confidentiality of fellow participants is essential. Participants should obtain consent before taking or sharing photos, videos, or any personal information of others. It is prohibited to share or distribute personal information of other participants without their explicit consent.

6. Responsible Use of Technology: Participants are expected to use any technological resources provided during the event responsibly and ethically. This includes refraining from unauthorized access, hacking, or malicious activities that may compromise the event's integrity or the privacy and security of other participants.

7. Compliance with Event Guidelines: Participants must follow all Experience guidelines and instructions provided by the organizers, staff, or designated moderators. Failure to comply with these guidelines may result in removal from the Experience or other appropriate actions determined by the organizers.

8. Feedback and Reporting: Participants are encouraged to provide constructive feedback to the Experience organizers to help improve future events. If any participant witnesses or experiences behavior that violates this Experience Code of Conduct, they should promptly report it to the Experience organizers or designated staff.

9. Consequences of Violations: Violations of this Experience Code of Conduct may result in disciplinary action, including but not limited to warnings, temporary or permanent removal from the event, or legal action if deemed necessary.

10. Amendment of the Code of Conduct: The event organizers reserve the right to amend or update this Experience Code of Conduct as needed, and the most recent version will be made available on the event's website or through other appropriate channels.

Participant acknowledges and agrees that Participant has read and understands these Experience Terms, the VeeFriends Terms of Use, and any Experience Venue Terms and intends to be legally bound by its terms.
